What are the Governing Documents of an Association?
Property owners associations derive their legal authority from state statutes and specific legal documents, which include:

  • Articles of Incorporation
  • Declaration of Covenants, Conditions, and Restrictions (CC&Rs)
  • By-Laws
  • Rules & Regulations

What are the Articles of Incorporation?
The Articles of Incorporation:

  • Bring the corporation into existence
  • Define the corporation’s basic purpose and powers
  • State that a board of directors will be established and may identify the initial board members

What is the Declaration of Covenants, Conditions, and Restrictions (CC&Rs)?
The Declaration (CC&Rs) serves as the foundation of the property owners association, governing its existence apart from state law. It defines the ownership limits and inclusions for both property owners and the association, allowing the association to manage contracts, raise funds, file liens, and collect fees.

The Declaration may include:

  • Definitions of physical property elements
  • Methods for determining the share of interest in common areas for each owner
  • Responsibilities of the association and individual owners, including permitted uses of common areas and individual units
  • Responsibilities for maintenance of the association and common areas
  • Restrictions on the use or enjoyment of properties and common areas

What are the By-Laws?
The By-Laws, established by the Declaration, define the operational and governance framework for the association. They include guidelines for the association's structure, board operations, election procedures, and the roles and responsibilities of officers and directors.

Key points covered by By-Laws include:

  • Membership meeting requirements
  • Voting rights of property owners
  • Procedures for electing board members and officers
  • General powers and duties of the board

What are Rules & Regulations?
Rules and Regulations define acceptable behavior for association residents and their guests. These guidelines govern areas such as noise, pets, use of property, and conduct in common areas. While rules and regulations may cause disagreements, they are essential for maintaining harmony and protecting the common areas for the entire community.
